Specific terms for the Peppol.nu Partner Program - a supplement to our general terms and conditions

These terms are specific to our Partnership Program and supplement our general terms and conditions. Together, they ensure clear and transparent agreements about our collaboration.

Partnership Program

As a Peppol provider, you gain exposure for your products and services through our platform. Choose from Basic, Professional, or Premium - check the current packages and pricing on our website.

Our Promise

More visibility, better market position, and direct access to potential clients. We provide the exposure, you focus on your expertise.

Transparency

These terms are specific to the Partnership Program and supplement our general terms and conditions. Together, they ensure clear agreements.

Pricing Structure & Discounts

Introductory discount first year with annual prepayment

Introductory Discount - First Year

Discount with annual prepayment
This discount applies once only for new partners

Payment Structure

  • Monthly in advance: Full rate, administration costs may apply
  • Annually in advance: Introductory discount first year, then regular rate
  • Automatic renewal: At then-current rates, for a period equal to current contract duration
  • VAT: All amounts are exclusive of VAT
  • Current pricing: See our website for current rates per package
Important payment info: Monthly payment applies the full rate. The Introductory discount is only available with annual prepayment and applies once only for the first year.

Price Adjustments

Prices may be adjusted annually in accordance with inflation and market conditions. Changes will be announced at least 60 days in advance.

Payment Terms

Payment Term

Payment must be made within 30 days of invoice date, without deduction or discount. Payment is made by transfer to the bank account stated on the invoice.

Late Payment

When the payment term is exceeded, the partner is in default by operation of law and owes:

  • Statutory interest from due date
  • Collection costs according to BIK
  • Any legal costs
Service suspension: In case of non-payment within the term, we reserve the right to suspend partnership services until full payment has been made.

Contract Renewal

Automatic renewal and conditions for continuation

Automatic Renewal

Partnerships are automatically renewed for a period equal to the current contract duration, unless terminated in time according to the applicable notice periods. An annual contract is thus renewed for one year.

Rate change after renewal: After the first year, the introductory discount expires and the then-current regular rates apply.

Renewal Conditions

  • Renewal is at the rates and conditions then in effect
  • Changes in rates will be announced at least 60 days in advance
  • Fundamental changes in conditions give right of termination without costs
  • New contract period has same notice periods as original contract

Cancellation Before Renewal

Don't want automatic renewal? Cancel in time according to the notice periods in the "Cancellation & Changes" section. Pay close attention to the terms:

  • Monthly contract: 1 month before end date
  • Annual contract: 2 months before end date

Content Guidelines

Quality requirements for content, logos, and company information

Content Requirements

  • All content must be truthful and current
  • Logos and images in high quality (minimum 300dpi)
  • Text content meets English spelling and grammar standards
  • No misleading claims about competitors
  • Respect for intellectual property of third parties

Approval Process

Content Review: All content is reviewed within 3 business days. Upon approval, the listing will be live within 5 business days. Changes may trigger a new review.

Change Rights per Package

Each partnership level has different rights for content changes. See the current package descriptions on our website for specific limits and possibilities per level.

General rule: Higher partnership levels have more freedom in change frequency and receive priority treatment for content updates.

How we determine order and what you can expect

Important

Listing Order

The order in our provider comparison is determined by partnership level:

  • Premium Partners: Highest priority, placed at top
  • Professional Partners: Middle position, above Basic level
  • Basic Partners: Standard order after higher levels

Homepage Exposure

Not all partnership levels have access to homepage carousel placement. The specific rights and frequency per package are described in the package descriptions on our website.

Placement guarantee: While we strive for optimal visibility, algorithm updates or technical issues may temporarily affect placement. We always communicate this proactively.

  • Placement of Partner's listing on the platform according to chosen Partnership Level
  • Content review within 3 business days after receipt
  • Activation of listing within 5 business days after approval
  • Provision of support according to support level belonging to chosen package
  • Execution of any press release and content marketing activities according to chosen package

Platform Availability

99% Uptime Guarantee: Peppol.nu guarantees a platform availability of at least 99% (excluding planned maintenance).

Order Determination

Peppol.nu reserves the right to determine the order in the provider comparison based on Partnership Level and other relevant factors such as:

  • Partnership level (Premium > Professional > Basic)
  • Recency of content updates
  • Relevance to search queries
  • Quality of listing content

Transparency

We communicate proactively about:

  • Planned maintenance moments
  • Changes in algorithms or placement
  • Updates in partnership features
  • Performance of your listing

Rights and Obligations Partner

What we need from you for a successful partnership

Your Part

Partner Obligations

Partner commits to:

  • Timely delivery of accurate and high-quality content
  • Timely payment according to agreed payment terms
  • Compliance with content guidelines as described in Partnership Terms
  • Informing Peppol.nu of relevant changes in company information

Content Guarantees

Partner guarantees that all provided content:

  • Is truthful and current
  • Does not infringe intellectual property rights of third parties
  • Complies with applicable laws and regulations
  • Contains no misleading claims
Important warning: Providing incorrect or misleading information may lead to suspension or termination of partnership without refund.

Communication Obligations

Partner must inform Peppol.nu immediately about:

  • Changes in company name, address, or contact details
  • New certifications or qualifications
  • Changes in offered services or products
  • Relevant developments affecting the listing

Quality Standards

Professional standard: Partner commits to maintaining a professional appearance and quality that fits the Peppol.nu platform and the expectations of our users.

Content Marketing & PR

Press Releases & Publications

Frequency and process for press releases per partnership level

Press Release Opportunities

Each partnership level is entitled to a certain frequency of press releases. The exact numbers per year and per quarter/month are described in the package details on our website.

Process and Conditions

  • At least 1 week advance notice for planning
  • Content review within 2 business days
  • Publication on Peppol.nu + LinkedIn repost
  • Partner logo and link in press release
Content requirements: Press releases must have news value and be relevant to the Peppol community. Pure commercial content will not be accepted.

Operational Terms

Cancellation & Changes

Flexible cancellation terms and upgrade options

Notice Periods

  • Monthly subscription: 1 month notice before end date of current month
  • Annual subscription: 2 months notice before end date of current year

Subscription Changes

  • Upgrade: Always possible, immediate activation and pro-rata billing
  • Downgrade: Effective date first day of next billing period

Making Changes Known

Written notice required: All cancellations and subscription changes must be communicated in writing by sending an email to info@solventis.nl

Upon Partnership Termination

Content Removal: Upon cancellation, your listing will be archived within 30 days. After 6 months, all content will be permanently deleted.

Support Levels

Each partnership level has a different support level with different response times and access to additional services. The specific support rights and response times per package are described on our website.

General rule: Higher partnership levels receive faster response times, access to phone support, and proactive account management.

Intellectual Property & Licenses

Who owns what and what rights we have

Your Rights

  • You retain all rights to your logos, texts, and brand materials
  • Peppol.nu receives usage rights for partnership purposes
  • Upon cancellation, our usage rights expire within 30 days

Our Rights

  • Peppol.nu platform design and functionality
  • Content created by us (blog posts, press releases)
  • Analytical data and insights (anonymized)
Mutual Respect: We respect each other's intellectual property. In case of disputes, we always first seek an amicable solution.

License for Use

By uploading content, you grant Peppol.nu a non-exclusive license to use, display, and distribute it in connection with partnership services.

What we can and cannot guarantee

Important
Important Disclaimer: The Partnership Program focuses on visibility and exposure. We cannot guarantee leads, sales, or business outcomes. Results depend on many factors beyond our control.

Our Guarantees

  • Platform availability of at least 99% (excluding planned maintenance)
  • Correct processing of content within stated terms
  • Fair treatment according to chosen partnership level

Mutual Responsibilities

  • Partner: Correct and current content, timely payments
  • Peppol.nu: Platform maintenance, content placement, support

Liability Limitations

Peppol.nu's liability is limited to the annual subscription amount of the relevant partner.

Excluded Types of Damage

Peppol.nu is never liable for:

  • Indirect damage, consequential damage, lost profits, or missed savings
  • Business stagnation, reputation damage, or image damage
  • Damage due to changes in search algorithms, SEO rankings, or website traffic
  • Damage caused by actions of other partners on the platform
  • Damage due to technical failures, cyber attacks, or data breaches
  • Damage due to incorrect or incomplete information from partner
  • Damage due to non-compliance with obligations by partner
  • Damage due to changes in laws and regulations

Procedural Limitations

  • Statute of limitations for claims: All claims expire 12 months after damage occurred
  • Reporting obligation: Damage must be reported in writing within 30 days
  • Limitation of damages: Partner must take all reasonable measures to limit damage
  • Discussion first: Parties should first try to resolve disputes through mutual consultation

Force Majeure

Peppol.nu is not liable for delay or failure in performance of obligations due to circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, government decisions
  • Strikes, lockouts, labor disputes
  • Internet or telecom failures by third parties
  • Failures at hosting providers or cloud services
  • Cyber attacks, DDoS attacks, or malware
Important limitation: These liability limitations do not apply in case of intent or gross negligence by Peppol.nu. To the extent mandatory law opposes these provisions, the maximum legally permitted applies.

These Partnership Terms supplement the general terms and conditions of Solventis B.V. In case of conflict, these Partnership Terms prevail for partnership-related matters.
