Terms and Conditions – Peppol Scan

These terms apply to the "Peppol Scan" service provided via Peppol.nu, a brand of Solventis B.V., based in Rotterdam and registered with the Dutch Chamber of Commerce under number 89943953.

1. Purpose and scope

These terms specifically apply to the purchase and execution of the Peppol Scan. By requesting a Peppol Scan through Peppol.nu, the client agrees to these conditions. Deviations are only valid if agreed upon in writing.

2. Quotes and order confirmation

A request via the web form counts as an order. The agreement is concluded after confirmation by Solventis B.V. via email. The service starts after receipt of payment or – if agreed – after written confirmation by the client.

3. Scope of the service

The Peppol Scan is an advisory service that includes an intake session, analysis of the client’s situation and needs, evaluation of relevant Peppol providers, and a final report with recommendations. This service is a best-effort obligation; Solventis does not guarantee specific outcomes.

4. Information provision

The client is responsible for providing all relevant information correctly and on time. Incomplete or incorrect information may delay execution or affect the quality of the advice.

5. Provider selection and independence

Solventis selects providers based on an objective comparison. There are no commercial ties with specific providers. The final selection and contracting of providers is the client's responsibility.

6. Pricing and payment

Prices for the Peppol Scan are listed on the website and are exclusive of VAT. Additional hours outside the selected package will be invoiced based on the applicable hourly rate. Payment term: 14 days from invoice date.

7. Cancellation

Cancellation is possible up to 48 hours before the intake meeting. If cancelled thereafter or after (partial) execution of the service, the full amount or a reasonable portion may be charged.

8. Intellectual property

All rights to documents, reports, templates, and advice created during the Peppol Scan remain with Solventis B.V. The final report may be used internally within the client’s organization. Sharing or publishing externally is only allowed with written permission.

9. Confidentiality

Both parties agree to keep all confidential information obtained during the assignment private. This obligation continues after the agreement ends.

10. Liability

Solventis’ liability is limited to the amount invoiced and paid for the Peppol Scan. Solventis is not liable for indirect or consequential damages.

11. Governing law and disputes

These terms are governed by Dutch law. Disputes will preferably be resolved amicably. If not, the competent court in the Rotterdam district has exclusive jurisdiction.
